End-User License Agreement (EULA) of ‘Assurance Governance’

This End-User License Agreement (“EULA”) is a legal agreement between you and UK Education Research and Innovation Ltd (UKERI), who own the intellectual property of the ‘Assurance Governance’ approach and resources, including the ‘governor.org.uk’ web-based resource. Please read it in full as all sections are of equal importance.

This EULA agreement governs your acquisition and use of our approach, resources and web platform (“Assurance Governance”) directly from UKERI or indirectly through a UKERI authorized partner (a “Reseller”).

Please read this EULA agreement carefully before using the resource. It provides a license to use the services and platform, and contains warranty information and liability disclaimers.

If you register for a free trial of Assurance Governance, this EULA agreement will also govern that trial. By using Assurance Governance, you are confirming your acceptance and agreement to become bound by the terms of this EULA agreement.

If you are entering into this EULA agreement on behalf of a school/academy, diocese, trust, local authority or private company, public body or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, please do not use Assurance Governance, and you must not accept this EULA agreement.

This EULA agreement shall apply only to the services supplied by UKERI herewith regardless of whether other services or platforms are referred to or described herein. The terms also apply to any UKERI updates, supplements, internet-based services, and support services, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant

UKERI hereby grants you a personal, non-transferable, non-exclusive licence to use Assurance Governance in accordance with the terms of this EULA agreement.

You are permitted to use the resources on any device (for example a PC, laptop, mobile or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the services and platform and that all use of the services and platform through that device is done so in a manner fully compliant with local and international laws.

UKERI will not be liable for:

  • Any impact whatsoever arising from the use of the Assurance Governance approach, the resources, all content, ideas, analysis or recommendations: All recommendations made explicitly or implicitly within the approach and any linked resources are used entirely at the user’s own risk.
  • Any offers of help and any recommendations arising from those offering support through the approach are provided entirely independently of UKERI.
  • The user is fully responsible for applying due diligence and obtaining appropriate professional advice with regard to the suitability of any support, data, analysis or advice offered (implicitly or explicitly) or received through the Assurance Governance approach.

You are not permitted to:

  • Store any form of personal data or information using Assurance Governance systems, including your own or anyone elses personal or private details. All roles, contact names, addresses, emails, telephone numbers must be organisational and already otherwise publicly available. UKERI will not be held liable for the loss of personal data incorrectly stored on the system.
  • Edit, alter, modify, adapt, translate or otherwise change the whole or any part of Assurance Governance nor permit the whole or any part of such to be combined with or become incorporated in any other service or offering, nor decompile, disassemble or reverse engineer the services or platform or attempt to do any such thing.
  • Reproduce, copy, distribute, resell or otherwise use Assurance Governance for any commercial purpose without prior permission (please contact us using the details provided elsewhere).
  • Allow any third party to use Assurance Governance on behalf of or for the benefit of any third party.
  • Use Assurance Governance in any way which breaches any applicable local, national or international law.
  • Use Assurance Governance for any purpose that UKERI considers is a breach of this EULA agreement.

Intellectual Property and Ownership

UKERI shall at all times retain ownership of Assurance Governance as originally used by you and all subsequent uses of the approach and resources by you.

Assurance Governance (and the copyright, and other intellectual property rights of whatever nature in the services, analysis and platform, including any modifications made thereto) are and shall remain the property of UKERI unless where named otherwise. For example (but not limited to):

  • All data obtained and used through the UK Open Government License and labelled as such, shall remain governed by the conditions of this public license.
  • All content, graphs, data and maps created through the use of any open source protocol or license, such as that generously provided through the Open Street Map Foundation, the Open Data Commons Open Database License and any other open source licensing framework, shall strictly remain governed by such third party licenses and protocols on a case-by-case basis. To the best of its ability UKERI will seek to label all such resources as such.

Users remain responsible for checking on the need for and reading all such third party licenses, maintaining awareness of any conditions consequently applied, and abiding by them. UKERI cannot be held liable for the misuse of its content in respect of such third party permissions, licenses or copyright infringements. Such a responsibility remains with the user.

UKERI reserves the right to grant licenses to use the platform to third parties: Please contact us if you wish to do so.

Termination

This EULA agreement is effective from the date you first use the services or platform and shall continue until terminated. You may terminate it at any time upon written notice to UK Education Research and Innovation.

It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Platform. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.

Governing Law

This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of the United Kingdon.
